Acceptance of Terms

By accessing or using the Thora Solutions LLC (“Company”) website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

Services

Thora Solutions provides AI consulting, software development, and related technology services. The specific scope, deliverables, timeline, and pricing for any engagement are defined in separate Statements of Work (SOW) or service agreements executed between Thora Solutions and the client. These Terms of Service govern the general use of our website and any services not covered by a separate agreement.

Payment

Payment terms for consulting services are specified in individual client agreements. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest at a rate of 1.5% per month. Thora Solutions reserves the right to suspend services for accounts with outstanding balances exceeding 60 days.

Intellectual Property

Unless otherwise specified in a client agreement:

• All custom code, systems, and deliverables created specifically for a client engagement are owned by the client upon full payment.
• Pre-existing tools, frameworks, and libraries developed by Thora Solutions remain our intellectual property, with a perpetual license granted to the client for use in the delivered system.
• Website content, branding, and materials on thora.solutions are the intellectual property of Thora Solutions LLC and may not be reproduced without written permission.

Limitation of Liability

To the maximum extent permitted by applicable law, Thora Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services. Our total liability for any claim arising from or relating to our services shall not exceed the total amount paid by you to Thora Solutions in the twelve (12) months preceding the claim.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of an engagement. Confidentiality obligations survive the termination of any agreement for a period of three (3) years.

Termination

Either party may terminate a service engagement with 30 days written notice, unless otherwise specified in a client agreement. Upon termination, the client shall pay for all work completed through the termination date. Thora Solutions will deliver all completed work product upon receipt of final payment.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the state or federal courts located in King County, Washington.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.
